Terms of Service

Agreement to Terms

By accessing or using BandMate AI ("Service"), operated by Pulse AI Solutions (CM3 Solutions Inc), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Use License

Permission is granted to access and use BandMate AI for personal and business use related to managing bands, venues, and fan engagement. Under this license you may not:

  • Modify, copy, or reverse engineer any software on the Service
  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated tools to scrape or extract data from the Service
  • Resell or redistribute access to the Service

User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account and password
  • Restricting access to your account
  • All activities that occur under your account

We support three account types: Musician, Venue Owner, and Fan. Each account type has different features and permissions. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

User Content

Our Service allows you to upload photos, videos, band profiles, gig information, and other content ("Content"). You are responsible for the Content you post, including its legality, reliability, and appropriateness.

By posting Content, you grant us a non-exclusive, worldwide license to use, display, and distribute such Content on and through the Service for the purpose of operating the platform.

Prohibited Content

You agree not to post Content that:

  • Is unlawful, threatening, abusive, harassing, defamatory, or fraudulent
  • Infringes any patent, trademark, trade secret, copyright, or other proprietary rights
  • Contains spam, advertising, or unsolicited solicitation
  • Contains viruses or any other malicious code
  • Impersonates any person, band, or venue

Band and Venue Data

Band owners are responsible for the accuracy of their band's information, including gig details, payment records, and member data. Venue owners are responsible for the accuracy of their venue listing, including address, capacity, and booking details.

Payment split calculations and mileage estimates provided by the Service are for informational purposes. You are responsible for verifying financial and tax-related information with a qualified professional.

Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Pulse AI Solutions and its licensors. The Service is protected by copyright, trademark, and other laws.

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, and hereby disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Mileage calculations, payment splits, and tax reports are provided as tools and should not be considered professional financial or tax advice.

Limitation of Liability

In no event shall Pulse AI Solutions or its suppliers be liable for any damages (including damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Service, even if we have been notified of the possibility of such damage.

Indemnification

You agree to indemnify, defend, and hold harmless Pulse AI Solutions and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
